What Documents Should Be Included in an Online Data Room for Investors?

If you’re looking to close an investment round, you will have to prove to investors that you have your business in order. This includes sharing documents that examine your company’s efficiency and strengths. A digital investor dataroom is among the most effective tools for this. It allows for the safe and efficient exchange of sensitive information as part of the due diligence process.

What documents should be included in a data room for investors? How can you tell if you’re useful reference including too much or too little? We spoke with Andrea Funsten, a partner at Basecamp Fund, to find out.

The answer is “It depends”. While every business is different but there are a few things that founders should think about before building an online data room for investors.

Generally, you should include the following documents:

1. Pitch Deck: This is an executive summary of the company’s thesis the company’s vision for its product and competitive landscape as well as the company’s traction. It should also include an investor pitch draft and a rough timeline for capital raising.

2. Financial Information In this section are both projected and historical financial statements, as and the sources that support these projections. You should also provide information on the legal structure of your company such as bylaws, articles of organization, business certificates, and tax information.

Certain founders will also have other documents, such as executive summaries or internal reviews of the performance of the company. But, it’s important to be aware that these additional documents could take up valuable time and can slow down the due diligence process.
